These Terms of Use, as well as Privacy Policy, constitute a legally binding agreement between you, and SPS ECO Ltd. (may refer to “We”, “Kodil Oils”, “Website”, “our”, “ours” or “us”).

Please read this Terms of Use carefully as far as it will regulate relations between you and us in the course of your use of the Website.

By using this Website you agree to be bound by the Terms of Use stated herein. You claim and warrant that you have the full legal authority to enter these Terms of Use and to be legally bound by it and that you achieved the age of legal majority under the laws or regulations in your jurisdiction.

  1. GENERAL PROVISIONS

Contractual partner, formation of contract. The purchase contract is concluded with SPS ECO Ltd. The display of products within the online shop constitutes a binding offer on our part to enter into a contract vis-à-vis the items. You may place our products in your basket without obligation and amend your entries at any time prior to submitting a binding order by using the correction facilities that are provided for this purpose and explained during the ordering process. The contract is formed by clicking on the order button, which indicates your acceptance of our offer concerning the goods contained in your basket. Once you have sent your order you will immediately receive a confirmation via e-mail.

We reserve the right to change any services, product prices, product specifications and availability at any time. All product descriptions are approximate. Every effort is made to keep information regarding stock availability on the Website up to date. However, we do not guarantee that this is the case, or that stock will always be available. If any provision of these Terms of Use is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of this Agreement and the remainder of the provision in question will not be affected. This Website, any content contained herein and any contract brought into being as a result of usage of this Website are governed by and construed in accordance with law of the jurisdiction specified in the clause below and the parties to any such contract agree to submit to the exclusive jurisdiction of the courts as specified. All contracts are concluded in English. These Terms of Use do not affect your statutory rights.

  1. ORDER PROCESS

Orders will only be accepted from persons over the age of 18.

All orders are subject to acceptance and availability.

You may buy goods from our Website either by registering your account or without creating an account.

If any goods are not available, we will notify you by email and you will have the option to wait for the item or to cancel your order.

Please provide your valid email address in order to contact you if necessary. Any orders placed by you will be treated as an offer to purchase the goods or services from our Store and we have the right to reject such offers at any time prior to acceptance. Please provide true and correct details of your address and phone number in order to complete with delivery ordered goods to your address.

You acknowledge that any automated acknowledgment of your order that you may receive from us shall not amount to our acceptance of your offer to purchase goods on the Website. The goods shall remain our property until full payment is made.

  1. DELIVERY

We deliver orders within the European Union. Goods will be delivered to you, the buyer, at the address provided by you on the order form. We use services of Royal Mail for delivery. The delivery usually takes 3-5 business days. To some countries the delivery may take longer. Please note, any dates quoted for delivery of goods are approximate only and we shall not be liable for any delay in delivery of goods however caused. All delivery terms are legally non-binding, and failure to comply will not entitle you to withdraw from the agreement.

You are responsible for assuring that the product can be lawfully imported to the destination country. You are the importer of record and must comply with all laws and regulations of the destination country.

  1. PAYMENT

All prices are inclusive of VAT (where applicable) and sales taxes at the current rates and are correct at the time of entering the information onto the system. Prices are in Pound Sterling unless otherwise specified.

Products will be sent by SPS ECO Ltd., based in United Kingdom.

At our Website we use external payment services to fulfil transactions (e.g. credit card payments). The payment transaction is automatically carried out by the credit card company and charged to your card.

The payment methods are specified on the Website and we reserve the right to change these methods at our own discretion.

Payment will be debited and cleared from your account before the shipment of your goods. By placing an order, you, the buyer, consent to payment being charged to your credit card account. We will issue you with an electronic receipt to your email address once the goods have been dispatched. Should any problems occur with the authorisation of your card, we will contact you with further details.

  1. RETURN OF DAMAGED OR FAULTY GOODS

You must examine goods on arrival. We will refund the full purchase price including postage and packing of an item, which is delivered in a damaged or faulty condition.
If the goods are delivered with obvious damage caused during delivery, please report the defect to the carrier and notify us by email shaun@kodiloils.com without delay. Failure to make a complaint or to make contact does not in any way affect your legal rights or the enforcement of such rights, notably your warranty rights. However, in doing so you help us to assert our own claims against the carrier or transport insurer.
Alternatively, at your option, we may replace the item with the same or a similar product (subject to stock availability).

Our products have natural origin and for any deviations (in smell or taste) we cannot provide you guarantee.

  1. DISPUTE RESOLUTION

The European Commission provides a platform for online dispute resolutions (ODR), which can be accessed at http://ec.europa.eu/consumers/odr/

This platform serves as a point of contact for the out-of-court resolution of disputes arising from online purchase or service contracts involving a consumer.

Kodil Oils is neither obliged nor willing to participate in a dispute settlement procedure before a consumer arbitration board.

In course of using our Store we will ask you certain information that identifies you as a specific individual or can be used to contact or identify you (hereinafter referred as “Personal Data”).Once you are visiting our Store we will ask you to confirm your age. All your Personal Data, which is being processed by us is stored on the territory of the European Union. Please note that your Personal Data is being stored by our hosting provider virtual server Google Cloud.

If we need to transfer your Personal Data outside the European Union to the third parties other than mentioned in this clause you will be informed about that and we will ask your consent in case of such transfer. In all such cases, your Personal Data can only be transferred to the companies or organizations outside the EU, which provide an adequate level of data protection.

We have integrated the Trusted Shops Trustbadge on our website in order to display our Trusted Shops Trustmark. This serves the protection of our legitimate interests in the optimal marketing of our offer according to Art. 6 (1) 1 lit. f) GDPR that are overriding in the process of balancing of interests. The Trustbadge and the advertised trust badge services are offered by Trusted Shops GmbH, Subbelrather Str. 15C, 50823 Cologne, Germany.

With every use of the Trustbadge, the web server automatically saves a so-called server log file which contains e.g. your IP address, the date and time of the request, the volume of data transferred and the requesting provider (access data), and documents the request. Those access data are not analyzed and are automatically overwritten no later than seven days after the end of your website visit.

Courier service
For delivery from our Store we use a courier service. This service makes shipping between our company and your address. For such purposes, the courier company requires access to information about your name, address and telephone number.

Marketing service
Kodil oils is supported by a company specialized in marketing activities and communication activities. Their access to personal information is very limited, and mostly anonymised.

Payment services

SECTION 7 – CHILDREN

We do not knowingly collect the Personal Data of the children under 18 years old. For this purpose, by using our Website you represent that you are at least 18 years. If we found that information from users less then 18 years old has been collected we will take all necessary steps and measures to delete all this data from our records.

SECTION 8 – HOW WE STORE YOUR PERSONAL DATA

We care about your privacy and take commercially reasonable steps to help protect and secure the information we collect and store about you, such as data encryption and pseudonymization. When you enter your information, we encrypt the transmission of that information using secure socket layer technology (SSL). We also use HTTPS strict transport security to add an additional layer of protection for our users.

Additionally, according to the storage limitation principle of data processing we will store your Personal Data only as long as it is required to fulfill the purposes set out on this Privacy Policy or until you withdraw your consent (if we process the data under your consent), or decide to stop using our Services and delete your Account.
